Please read these Terms carefully before using our services.
These Terms of Service ("Terms") govern your use of the services provided by Prep Services FBA ("PSF," "we," "us," or "our"). By engaging our services, placing an order, or using our website, you agree to be bound by these Terms.
1. Services Provided
PSF provides third-party logistics, prep, and fulfillment services including but not limited to:
- Amazon FBA prep (FNSKU labeling, polybagging, bundling, kitting, shipment creation)
- Amazon FBM fulfillment (pick, pack, and ship)
- Walmart WFS prep
- DTC and Shopify fulfillment
- Online arbitrage and wholesale prep
- Private label prep and quality control
- Pallet and container handling
- Returns management and liquidation support
- Warehouse storage
The specific services, pricing, and terms applicable to your account will be set out in your individual service agreement or quote confirmation.
2. Account & Client Responsibilities
By using our services, you agree to:
- Provide accurate, complete, and up-to-date information about your inventory, shipping requirements, and account details.
- Supply all necessary labels, shipping plans, and documentation required for your orders in a timely manner.
- Ensure that all products you send to PSF comply with Amazon’s, Walmart’s, and all relevant marketplace policies and regulations.
- Notify us of any hazmat, oversized, or restricted products before sending them to our facility.
- Maintain a valid and active selling account on any marketplace for which you are requesting prep or fulfillment services.
- Pay all invoices by the agreed due date.
3. Pricing & Payment
All pricing for PSF services is provided in your custom quote. By confirming a quote or sending inventory to our facility, you agree to the stated pricing.
- Invoicing: Invoices are issued upon completion of processing or on a weekly/monthly basis depending on your service agreement.
- Payment terms: Payment is due within the number of days stated on your invoice (typically net 7 or net 14 days from invoice date).
- Late payments: Accounts with overdue balances may be subject to a late fee of 1.5% per month on the outstanding balance. PSF reserves the right to hold outbound shipments for accounts with unpaid invoices.
- No hidden fees: All applicable fees (receiving, prep, storage, dispatch) are disclosed in your quote. We will notify you of any additional charges before they are applied.
- Price changes: We may update our pricing with 30 days’ written notice. Continued use of our services after the notice period constitutes acceptance of the new pricing.
4. Receiving & Processing
- PSF will make reasonable efforts to process your inventory within the turnaround times stated in your service agreement (typically 24–72 hours from receiving, subject to volume and label availability).
- Turnaround times begin once all required labels, shipping plans, and prep instructions have been provided by the client.
- PSF is not responsible for delays caused by late label delivery, missing shipment plans, or incomplete instructions from the client.
- We will notify you of any discrepancies (short shipments, damaged units, unidentifiable products) upon receiving your inventory.
- PSF reserves the right to refuse any shipment that contains prohibited, hazardous, or undisclosed regulated products.
5. Liability & Damage Claims
PSF takes great care in handling all client inventory. In the event of loss or damage:
- PSF’s liability for any lost or damaged inventory is limited to the lesser of the actual replacement cost of the item or $50 per unit, unless a higher declared value has been agreed in writing prior to receiving the inventory.
- All damage claims must be submitted in writing within 14 days of the date the relevant shipment was dispatched or the inventory was returned to the client.
- Claims submitted after 14 days will not be accepted. PSF is not liable for damage caused by improper packaging provided by the client, inherent product defects, or carrier mishandling after handoff.
- PSF’s total cumulative liability for any single client in any calendar month shall not exceed the total fees paid by that client to PSF in that month.
6. Storage Terms
- Storage fees are charged monthly based on the cubic footage or pallet positions occupied by your inventory, as agreed in your service quote.
- Inventory stored for more than 90 days without a dispatch instruction may be subject to additional long-term storage fees.
- PSF reserves the right to dispose of or liquidate unclaimed inventory that has been stored for more than 180 days without client communication or payment, after providing 30 days’ written notice to the client.
- Clients are responsible for ensuring accurate inventory counts. PSF conducts regular cycle counts but cannot guarantee 100% accuracy for large, mixed-SKU storage accounts.
7. Prohibited Products
The following product categories are not accepted at PSF’s facility without prior written authorization:
- Hazardous materials (flammables, explosives, corrosives) without proper documentation and advance notice
- Controlled substances or products requiring federal licensing
- Counterfeit, trademark-infringing, or unauthorized branded products
- Products that are illegal to sell in the United States
- Live animals or perishable items without prior written agreement
- Adult or explicit content products without prior written agreement
PSF reserves the right to refuse, return, or dispose of (at the client’s expense) any prohibited products received at our facility.
8. Termination
- Either party may terminate the service relationship with 30 days’ written notice.
- PSF may terminate services immediately if a client violates these Terms, provides false information, or fails to pay outstanding invoices after a 7-day cure period.
- Upon termination, the client is responsible for arranging retrieval or disposal of any remaining inventory within 30 days. After that period, PSF may charge storage fees or arrange disposal at the client’s cost.
- All outstanding balances become immediately due upon termination.
9. Confidentiality
Both PSF and the client agree to keep confidential any proprietary information, business strategies, pricing, or trade secrets shared during the course of the service relationship. This obligation survives termination of services for a period of 2 years.
10. Intellectual Property
All content on the PSF website, including text, graphics, logos, and software, is the property of Prep Services FBA and is protected by applicable intellectual property laws. You may not reproduce, distribute, or use our content without prior written permission.
11. Indemnification
You agree to indemnify, defend, and hold harmless PSF, its officers, employees, and agents from and against any claims, damages, losses, or expenses (including reasonable attorney’s fees) arising from: (a) your use of our services; (b) your violation of these Terms; (c) your violation of any third-party rights, including marketplace policies; or (d) any products you send to our facility that are prohibited, defective, or cause harm.
12. Disclaimer of Warranties
PSF provides its services “as is” and makes no warranties, express or implied, regarding the results of its services, including but not limited to guarantees of Amazon acceptance (beyond our standard zero-rejection process), marketplace sales performance, or delivery times beyond our stated turnaround guarantees.
13. Governing Law & Disputes
These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, United States, without regard to its conflict of law provisions.
Any dispute arising from these Terms or your use of PSF’s services shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in New Jersey in accordance with the rules of the American Arbitration Association.
14. Changes to These Terms
PSF reserves the right to modify these Terms at any time. We will notify clients of material changes via email or prominent notice on our website at least 14 days before the changes take effect. Your continued use of our services after that period constitutes acceptance of the updated Terms.
